Terms of Service
These Terms of Service (“Terms”) are an agreement between you and MinuteSell LLC (“MinuteSell,” “we,” “us,” “our”) covering your use of the MinuteSell mobile app and related services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. What MinuteSell Is
MinuteSell is a local peer-to-peer resale marketplace. Sellers photograph items, the app helps write and price a listing, and buyers nearby can find the listing and message the seller to arrange an in-person meetup. MinuteSell provides the platform only. We are not a party to any sale, we do not own, inspect, or hold the items listed, and we do not process payments. Every transaction is solely between the buyer and the seller.
2. Who Can Use MinuteSell
You must be at least 18 years old and able to form a binding contract to use the Service. You may hold one account, registered to a phone number you control. You may not use the Service if we have previously suspended or removed your account.
3. Your Account
You sign up with your phone number and verify it with a one-time passcode. You are responsible for everything that happens under your account and for keeping your device and verification codes secure. Tell us at support@minutesell.com right away if you believe your account has been used without your permission.
The Verified Seller badge means a phone number has been verified. It is not a guarantee of a user’s identity, honesty, or the condition of their items.
You can delete your account at any time from the app’s settings or by contacting us. Deletion removes your account, listings, and messages as described in the Privacy Policy.
4. Listings and AI-Generated Content
When you upload photos, MinuteSell uses an AI model to suggest a title, description, category, condition, and price, drawing on public marketplace data. These are suggestions. You are responsible for reviewing them and for the accuracy of every listing you publish, including that you own the item, that it matches its photos and description, and that the price you set is yours. Price suggestions are estimates and are not an appraisal, a guarantee of value, or an offer to buy.
Listings must be for a specific physical item that you have and intend to sell for in-person pickup in your area. Do not post placeholder, duplicate, or misleading listings, and do not use the Service to advertise other businesses or services.
5. Your Content
You keep ownership of the photos, descriptions, and messages you post (“Your Content”). You grant MinuteSell a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute Your Content for the purpose of operating, promoting, and improving the Service, including showing your listings to other users and generating listing details from your photos. This license ends when you delete the content or your account, except where the content has been shared with other users (for example, in a conversation) or where we must retain it for legal reasons.
You represent that you have the rights to post Your Content and that it does not infringe anyone else’s rights or violate any law or these Terms.
6. Prohibited Items
You may not list, sell, or offer any of the following:
- Illegal items, or items whose sale is restricted in your location
- Firearms, ammunition, firearm parts, explosives, and weapons
- Drugs, drug paraphernalia, tobacco, vaping products, and alcohol
- Stolen goods, or items you do not have the right to sell
- Counterfeit or replica goods, or items that infringe trademarks or copyrights
- Recalled, hazardous, or unsafe products
- Live animals
- Adult or sexually explicit material
- Prescription medication, medical devices requiring a prescription, and supplements making medical claims
- Personal data, account credentials, or access to online services
- Anything that requires a license to sell that you do not hold
We may remove any listing we believe violates this section, with or without notice.
7. Community Rules and Zero Tolerance for Abuse
MinuteSell has no tolerance for objectionable content or abusive users. You agree not to:
- Post content that is hateful, harassing, threatening, violent, sexually explicit, or discriminatory
- Harass, threaten, stalk, or intimidate another user, in the app or in person
- Scam, defraud, or mislead anyone, including by misrepresenting an item or your identity
- Spam other users, send unsolicited promotions, or use messaging for anything other than the transaction at hand
- Collect or share another user’s personal information without their consent
- Use automated tools to scrape, crawl, or bulk-access the Service
- Interfere with the Service, circumvent its security or rate limits, or access it other than through the app
- Create multiple accounts, or evade a suspension or block
Every listing, profile, and conversation can be reported from within the app, and you can block any user at any time. We review reports promptly, normally within 24 hours, and will remove content and suspend or permanently remove users who violate these rules. We may also report illegal activity to law enforcement.
8. Buying, Selling, and Meeting in Person
Transactions on MinuteSell are completed in person, between the buyer and the seller, with payment arranged directly between them. MinuteSell does not hold funds, offer buyer or seller protection, or guarantee that any item will be as described, that a buyer will pay, or that a meetup will happen.
Use common sense when meeting someone you met through the app: meet in a public, well-lit place, consider bringing someone with you, inspect the item before paying, and do not share more personal information than the transaction needs. You are solely responsible for your safety and for any dispute with another user. If you have a problem with a transaction, contact the other user first; you can also report them to us, and we may take action against their account, but we do not mediate or refund.
9. Messaging and Notifications
In-app messaging exists so buyers and sellers can arrange a sale. Messages are stored on our servers and may be reviewed when a report is filed, to investigate abuse or fraud, or where the law requires. By creating an account you agree to receive verification codes by SMS. Push notifications and saved-search alerts can be turned off in the app or in your device settings.
10. Fees
MinuteSell is currently free to use. If we introduce fees or paid features, we will tell you in advance, and the fees will apply only to features you choose to use after that notice.
11. MinuteSell’s Intellectual Property
The Service, including the app, its design, software, trademarks, and the listing details and price suggestions generated by our tools, is owned by MinuteSell or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to use the app on your own device for its intended purpose. You may not copy, modify, distribute, reverse engineer, or create derivative works from any part of the Service except as the law expressly allows.
12. Suspension and Termination
We may suspend or terminate your account, remove content, or restrict features at any time if we believe you have violated these Terms, created risk or legal exposure for us or other users, or if we discontinue the Service. Where reasonable, we will tell you why. You may stop using the Service and delete your account at any time. Sections 5, 11, and 13 through 17 survive termination.
13. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that listings are accurate, that users are who they say they are, or that AI-generated content is correct. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.
14. Limitation of Liability
To the fullest extent permitted by law, MinuteSell and its members, officers, employees, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to the Service, any transaction or meetup between users, or any user’s conduct, even if we have been advised of the possibility of such damages. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred US dollars.
15. Indemnification
You agree to defend, indemnify, and hold harmless MinuteSell and its members, officers, employees, and service providers from any claims, damages, and expenses, including reasonable legal fees, arising out of Your Content, your use of the Service, your transactions or interactions with other users, or your violation of these Terms or any law.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas and applicable United States federal law, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us at support@minutesell.com and try in good faith to resolve the dispute informally for at least thirty days. Any claim that is not resolved informally must be brought in the state or federal courts located in Texas, and you consent to their jurisdiction. Nothing in this section prevents either party from bringing an individual claim in small-claims court.
17. General
These Terms and the Privacy Policy are the entire agreement between you and MinuteSell about the Service. If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
18. Changes to These Terms
We may update these Terms as the Service changes, for example when payments or meetup features are introduced. We will update the effective date above and, for material changes, notify you in the app or by another reasonable method. Continued use of the Service after a change means you accept the updated Terms.
